Consulting Agreement
This Consulting Agreement governs the relationship between Hudson Valley Career Development, LLC (“Consultant”) and the individual or entity purchasing or receiving consulting services (“Client”).
By purchasing services or engaging with Hudson Valley Career Development, LLC, Client acknowledges that they have read, understood, and agreed to the terms outlined in this Agreement.
I. Independent Contractor Relationship
Consultant’s relationship with the Client is that of an independent contractor. Nothing contained in this Agreement shall be interpreted or construed to create any partnership, joint venture, agency, or employment relationship between the parties.
Consultant shall be solely responsible for payment of any federal, state, or local taxes associated with compensation received for services rendered.
II. Confidentiality
2.1 Definition of Confidential Information
“Confidential Information” includes any technical or non-technical information related to Hudson Valley Career Development, LLC and the Breakthrough!® Methodology, including but not limited to proprietary strategies and methodologies, career positioning frameworks, resumes and cover letters, coaching strategies and advisory materials, digital resources, documents and templates, and research, financial, marketing, and operational information.
Confidential Information includes any materials provided to the Client as part of consulting services.
2.2 Non-Disclosure and Protection of Materials
Client agrees to maintain the confidentiality of all proprietary materials and information provided through Hudson Valley Career Development, LLC.
Client agrees not to reproduce, distribute, publish, sell, transfer, or share any materials associated with the Breakthrough!® Methodology or consulting services with any third party without prior written consent.
All materials remain the intellectual property of Hudson Valley Career Development, LLC.
III. Digital Products & Intellectual Property
Hudson Valley Career Development, LLC may provide digital materials as part of consulting services, including but not limited to documents, templates, frameworks, PDFs, written strategies, video or training materials, and proprietary consulting methodologies.
These materials are licensed for individual client use only.
Client agrees that such materials may not be copied, reproduced, distributed, shared, or sold without the express written consent of Hudson Valley Career Development, LLC.
The Breakthrough!® Methodology and all associated materials remain the intellectual property of Hudson Valley Career Development, LLC.
IV. Governing Law
This Agreement shall be governed and interpreted in accordance with the laws of the State of New York.
Any disputes arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located within New York State.
V. Guarantee & Refund Policy
Hudson Valley Career Development, LLC provides consulting and advisory services designed to help professionals strengthen their career positioning and job search strategy.
While many clients have successfully secured employment through implementation of the Breakthrough!® Methodology, individual results depend on numerous factors outside the Consultant’s control.
These factors may include job market conditions, employer hiring decisions, individual qualifications, industry demand, and the Client’s implementation of recommended strategies.
Accordingly, Hudson Valley Career Development, LLC does not guarantee employment outcomes, interviews, job offers, or salary levels.
All consulting services are non-refundable once services have commenced.
By purchasing services, Client acknowledges that they have read and understand the refund and guarantee policy.
VI. No Professional Guarantees
Hudson Valley Career Development, LLC provides consulting and advisory services based on the Breakthrough!® Methodology to assist individuals in strengthening their professional positioning and job search strategy.
Consulting services are intended to provide guidance, strategies, and tools. However, no professional guarantees are made regarding employment outcomes, interviews, offers, compensation, or hiring decisions.
Employment outcomes ultimately depend on numerous external factors beyond the Consultant’s control.
VII. Limitation of Liability
Hudson Valley Career Development, LLC provides consulting and advisory services based on the Breakthrough!® Methodology.
Under no circumstances shall Hudson Valley Career Development, LLC be liable for any direct, indirect, incidental, consequential, or special damages arising from the use of consulting services or materials provided.
This includes, but is not limited to, loss of employment opportunities, lost income, lost business opportunities, economic damages, and business interruption.
Client acknowledges that employment outcomes depend on numerous external factors outside the Consultant’s control.
In all circumstances, the total liability of Hudson Valley Career Development, LLC shall be limited to the amount paid by the Client for the consulting services provided.
VIII. Acceptance of Terms
By purchasing services or engaging with Hudson Valley Career Development, LLC, Client acknowledges and agrees to the terms of this Consulting Agreement.
